AFTER years of delay, investors in 8 Conlay must now decide on three options presented by the receivers and managers (R&M) of the developer and Magna Prima Bhd (KL:MAGNA) as the rehabilitation developer under a proposed scheme of arrangement as a way forward from the current stalemate. The scheme needs the approval of at least 75% in value of those present and voting, in person or by proxy.
Magna Prima explains why it is undertaking the project and answers other questions from The Edge.
The Edge: Why is Magna Prima Bhd taking on such a long-stalled project?
Magna Prima: We recognise the significant underlying value and long-term development potential of this strategically located project within Kuala Lumpur’s prestigious Golden Triangle.
Despite the challenges and prolonged delays experienced by the development, its prime location, established purchaser base and substantial development potential present a compelling opportunity for rehabilitation and long-term value creation.
The proposed rehabilitation aims to introduce a commercially sustainable solution that will restore market confidence, restore the name of our country, Malaysia, protect purchasers’ interests and unlock the development’s full potential.
Magna Prima believes that with the appropriate restructuring framework, development expertise and financial resources, the project can be successfully revitalised and repositioned as a landmark development in Kuala Lumpur.
When was the purchasers’ briefing held, and how was the turnout?
The purchasers’ briefing was held on Oct 10, 2026, and received an encouraging turnout, with participation both physically and online, allowing overseas purchasers to engage in the session. The overall response was positive and constructive. Given that the project has remained stalled for a considerable period, there was a strong sense of optimism among participants regarding the proposed rehabilitation initiative. Most participating purchasers shared the common view that the time has come to revive the project and move towards a practical and sustainable resolution.
Of the 564 purchasers, are the majority foreigners?
The purchaser profile comprises both Malaysian and international buyers, with foreign purchasers representing the majority.
How will verified payments be reconciled against the master list dated Jan 4, 2024, and how will financing banks respond to Options B and C?
The verification and reconciliation of purchasers’ payments constitute an integral part of the proposed rehabilitation framework. The master list will serve as a key reference, supplemented by relevant supporting documentation, including sale and purchase agreements, payment receipts, developer records and financing documentation.
Where discrepancies are identified, purchasers will be given the opportunity to submit supporting documents for verification to ensure that their respective payments and entitlements are accurately established. Based on available information, for purchasers with existing financing arrangements, they will be required to obtain the consent of their respective financial institutions, where applicable.
Can an Armani-branded replacement unit elsewhere genuinely substitute for a property originally purchased in the Golden Triangle? Why are purchasers limited to the identified projects?
We fully recognise that purchasers originally selected their properties based on individual considerations, including location, lifestyle preferences, investment potential and anticipated long-term capital appreciation.
The proposed replacement properties are not intended to be identical substitutes for the original units. Rather, they are designed to provide purchasers with an additional alternative under the proposed rehabilitation framework.
Importantly, the replacement property arrangement is offered as an option for purchasers to consider, rather than an assumption that all purchasers have identical preferences or investment objectives.
What will replace Kempinski?
The hospitality component remains an important consideration in the overall repositioning and long-term vision of the development. However, at this stage, it would be premature to confirm any replacement hospitality operator or branding arrangement.
The proposed rehabilitation remains subject to the necessary purchaser approvals, court sanction and other relevant requirements. Furthermore, any future hospitality arrangement must take into consideration existing contractual commitments and agreements entered into prior to the proposed rehabilitation. These matters require careful legal and commercial evaluation, together with substantive negotiations with the relevant parties.
Is it fair for purchasers to give up years of accrued liquidated damages if they agree to the scheme, but if they disagree, the alternative could be an unfinished development and liquidation?
We fully acknowledge the frustration, inconvenience and financial impact experienced by purchasers as a result of the prolonged delay in completing the development.
The issue of liquidated damages is understandably an important consideration for affected purchasers. However, the proposed rehabilitation must be evaluated within the broader commercial and legal realities of the project’s present circumstances.
The fundamental question is whether purchasers would be better served by continuing to pursue contractual claims against the original developer, which is presently under liquidation, where actual recovery may remain uncertain, or by supporting a commercially viable rehabilitation framework that provides a tangible pathway towards project completion or alternative property arrangements.
In a liquidation scenario, the recovery of outstanding claims would depend on several factors, including the availability of realisable assets, the priority of secured and other creditors, and the eventual outcome of the liquidation process. Consequently, even where purchasers possess valid contractual claims for liquidated damages, such claims may not necessarily result in full financial recovery.
The proposed restructuring seeks to balance these commercial realities by offering purchasers an opportunity to recover meaningful value through a structured and viable rehabilitation exercise. Ultimately, our objective is to provide purchasers with a realistic solution that prioritises value recovery and meaningful progress, rather than allowing the development to remain stalled indefinitely.
What happens next? Is Oct 31 the final deadline to obtain 75% consent?
The immediate priority is to secure the requisite purchaser support for the proposed rehabilitation scheme. Oct 31, 2026, has been identified as the target milestone for progressing the purchaser consent exercise and facilitating the subsequent legal and restructuring processes.
We will continue to monitor the progress of the consent exercise and engage with relevant stakeholders to determine whether an extension of the targeted timeline may be appropriate, should additional time be required. The current intention is to engage with all purchasers to obtain their consent.
Is the rehabilitation and restructuring exercise still expected to be completed by the first half of 2027?
The first half of 2027 remains our targeted timeframe for completing the proposed restructuring exercise and commencing our development thereafter. However, this timeline is subject to several important milestones, including obtaining the requisite purchaser support, securing court sanction, fulfilling applicable regulatory requirements and finalising the relevant commercial arrangements.
So, Magna Prima is the landowner through its wholly-owned subsidiary, while Armani Group handles design, marketing and construction?
Under the proposed collaboration structure, the development will be undertaken by Permata Juang (M) Sdn Bhd, a wholly-owned subsidiary of Magna Prima, as the developer of the project. The directors and shareholders of Armani Group will assist in contributing their extensive property development experience to support the proposed rehabilitation and subsequent development.
