KUALA LUMPUR (June 1): Precast concrete product maker Sarawak Consolidated Industries Bhd will be holding an extraordinary general meeting on June 28 to vote on the removal of three directors from its board, including Noor Azri Noor Azerai — the 24-year-old former executive director of Bintai Kinden Corp Bhd — and to replace them with four others.
This follows a notice sent to the company on Tuesday (May 30) by eight shareholders holding no less than 10% of the company's issued share capital, to move the resolutions to reshuffle the board.
The shareholders will also move a resolution to have anybody appointed as a director between the date of the notice and up to the commencement of the EGM to be removed immediately.
"Pursuant to the company’s announcement dated May 31, 2023 on the notice of intention from the shareholders of the company to call for an EGM to be held pursuant to Section 310(b) of the Companies Act 2016, the board of directors of SCIB wishes to announce that the targeted date of the EGM will be on June 28, 2023 and the notice of EGM will be sent on June 13, 2023," SCIB's bourse filing on Thursday read.
Besides Noor Azri, the requisitionists — namely Lim Hau Yang, Ang Sok Kiang, Ungguh Holdings Sdn Bhd, Teo En Chie, Lee Chee Hoon, Chin Choon Wei, Liaw Way Gian and Hong Mei Ying — want to remove Mohd Shakir Shahimi and Nuraiman Shaiful Annuar from the board.
The requisitionists then want to appoint Liaw, Kang Wei Luen, Dang Nguk Ling, and Pakharuddin Mohd Samin to the board.
Noor Azri joined SCIB’s board on March 17 last year, while Mohd Shakir and Nuraiman both joined on Sept 15.
Noor Azri and Mohd Shakir previously sat on the board of Bintai Kinden. But Noor Azri resigned as Bintai Kinden's executive director just last month due to “personal reason[s] and time commitment on other companies”, and Shakir left his independent non-executive director post shortly after that. It was also reported previously that Nuraiman is a director of Bintai Energy — Bintai Kinden's 51%-owned unit. It is unclear if he is still with Bintai Energy.
Both Noor Azri and Mohd Shakir are also on the boards of Malaysian Genomics Resource Centre Bhd (MGRC), where Noor Azri was redesignated last month as executive chairman while Shakir remains an independent non-executive director.
It is worth noting that besides Bintai Kinden and MGRC, Noor Azri has, over the past two years, joined the boards of a few other public-listed companies, though he left many after just a short stint.
He sat on the board of Classita Holdings Bhd (formerly Caely Holdings Bhd) for a month, on NWP Holdings Bhd's board for four months, and was a director of Serba Dinamik Holdings Bhd for 10 months.
SCIB shares closed 1.5 sen or 6.98% higher at 23 sen on Thursday, giving the group a market capitalisation of RM135.94 million.
