Notable filings

Filings of note at Bursa Malaysia-listed companies for the period between Sept 21 and 25 included that at Pavilion Real Estate Investment Trust (KL:PAVREIT), in which pension fund Kumpulan Wang Persaraan (Diperbadankan) (KWAP) ceased to be a substantial unitholder.

KWAP sold 7.04 million units on the open market on Sept 24 to trim its direct holdings to 140.94 million units or 3.59%, while it is also deemed interested in another 50.1 million units or a 1.27% stake.

KWAP, through its fund manager, last bought Pavilion REIT on June 8 to lift its total holdings to 222.16 million units or 5.66%, of which 4.21% was held directly and 1.45% indirectly, previous stock exchange filings show. From there, KWAP disposed of close to 31.1 million units or a 0.8% stake over 16 weeks to 4.86% — below the 5% substantial unitholding threshold.

The Employees Provident Fund (EPF) is likely to have bought the Pavilion REIT units sold by KWAP on Sept 24 and more. Filings show that an EPF portfolio manager bought 7.32 million Pavilion REIT units to raise its direct holdings to 493.4 million units or 12.5%. The EPF subsequently bought another 2.28 million units on Sept 25 to raise its holdings to 495.6 million units or 12.61%.

At Talam Transform Bhd (KL:TALAMT), Ong Mua Khee emerged as a substantial shareholder with 118.19 million shares or a 9.09% stake on Sept 23, following a private placement at seven sen each or RM8.27 million in total. He appears to be the sole taker of the entire tranche that was priced at a discount of 0.51 sen or 6.79% to the five-day volume-weighted average market price up to Sept 14.

Notable movements

Sunway Healthcare Holdings Bhd (KL:SUNMED) made headlines recently after Singapore sovereign wealth fund GIC Pte Ltd’s Greenwood Capital Partners Pte Ltd was reported to have sold over 575 million shares, or just under a 5% stake, for over RM1 billion or RM2.08 apiece on Sept 22. The price was near the lower end of the RM2.07 to RM2.10 range marketed to investors, and a 9% discount to its closing price on Sept 21, Bloomberg reported, citing a term sheet.

Buyers likely included the EPF, as filings show it bought at least 139.05 million Sunway Healthcare shares on Sept 22, lifting its holdings to 922.03 million shares or 8.014%.

Sunway Healthcare was valued at RM23.8 billion at its closing price of RM2.07 last Thursday, 42.8% above its RM1.45 price before its March 18 debut but 12.7% below its recent high of RM2.37 on March 27.

Closing at RM9.95 last Thursday, to value the bank at RM120.35 billion, shares of Malayan Banking Bhd (KL:MAYBANK) were down 53 sen or 5.06% year to date, and were 14.8% below its 52-week high of RM11.68 on Feb 24.

The EPF and Amanahraya Trustees Bhd — Amanah Saham Bumiputera (ASB) — were among sellers of the stock while KWAP and Permodalan Nasional Bhd (PNB) were buyers, stock exchange filings during the week in review show.

In particular, PNB bought 7.5 million Maybank shares on Sept 22, the same day that the EPF sold 10 million shares and ASB sold

8.92 million shares. This raised PNB’s direct holdings to 777 million shares or 6.42%.

ASB, which sold 1.08 million shares on Sept 21, still had 3.43 billion shares or a 28.37% stake in Maybank following the disposal.

The EPF, which had earlier on Sept 21 sold 3.89 million Maybank shares, subsequently bought 178,300 shares on Sept 25 to raise its direct holdings to 1.46 billion shares or 12.05%.

KWAP, which had about a 5.11% direct and indirect stake in Maybank after selling 464,700 shares on Sept 9, bought around 2.44 million shares or a 0.01% stake between Sept 21 and 25 (except Sept 22) to bring its holdings to 5.12%, of which 4.71% is held directly.
