KUALA LUMPUR (Aug 14): Integrated engineering and defence services provider Destini Bhd (KL:DESTINI) has reshuffled its board, with Datuk Seri Dr Shahril Mokhtar, 54, returning as executive director and group managing director.

The move comes ahead of a planned Aug 21 extraordinary general meeting (EGM) to remove four directors, including its executive chairman.

Shahril was redesignated as a non-independent non-executive director on July 21. Three days later, shareholders claiming to hold more than 10% of Destini’s shares — LINC Shared Services Sdn Bhd, Veritas Aman Sdn Bhd, WP Travel Sdn Bhd and Azulite Bloom Sdn Bhd — requisitioned an EGM to remove four directors and appoint two new ones.

As part of the latest changes, Datuk Seri Syed Razlan Ibni Syed Putra and Datuk Mua’Amar Ghadafi Jamal Jamaludin, who were proposed as new directors, have joined the board without the EGM taking place.

Instead of removing the four directors named in the requisition notice, Destini redesignated executive chairman Datuk Abd Aziz Sheikh Fadzir, 63, as a non-independent non-executive director. Long-serving executive director Ismail Mustaffa, 63, was also redesignated as a non-independent non-executive director.

Meanwhile, independent directors whose removal was sought, Datuk Bahudin Mansor and Norashikin Mat Yusof, resigned on Aug 13, citing personal commitments. The company said their resignations were not due to any disagreement with the board and that there were no matters that needed to be brought to shareholders’ attention.

Abd Aziz is Destini’s largest shareholder with a 0.455% direct interest in Destini and a 10.55% indirect stake held through Kenanga Investors Bhd on behalf of Dayanine Equity Sdn Bhd.

Syed Razlan has taken over as an independent non-executive chairman, while Mua’Amar Ghadafi has joined the board as an independent non-executive director.

Shahril was first appointed group managing director on Jan 6, 2026, after joining the board as an executive director in December 2025.

Mua’Amar Ghadafi, 47, is the Umno deputy chief of Parit Buntar.

Syed Razlan, 75, is a former member of Parliament and a member of the Perlis royal family. Another independent non-executive director on the board, Datuk Syed Haizam Hishamuddin Putra Jamalullail, is his nephew.

Destini’s shares were unchanged at 26.5 sen on Friday, valuing the company at RM145.48 million. The stock is down 40% over the last year.
