KUALA LUMPUR (July 17): PTT Synergy Group Bhd (KL:PTT) plans to acquire logistics software from China-based vTradEx Information Technology (Shanghai) Co Ltd for US$7.12 million (RM29.1 million) in cash. 

In a filing on Bursa Malaysia, the group said its indirectly owned subsidiary PTT Robotics Sdn Bhd signed four agreements on Friday, which involve the purchase of the legal ownership and intellectual property rights of four software systems developed by vTradEx.

PTT Synergy said the software comprises a warehouse management system, warehouse execution system, transportation management system, and yard management systems, which will be deployed across 11 countries including Malaysia, Singapore, Indonesia, Thailand, Vietnam, and the Philippines.

According to the filing, PTT Robotics is primarily involved in the sale, leasing, servicing and maintenance of automated storage and retrieval system software, hardware, equipment and spare parts. It is wholly owned by PTT Logistics Sdn Bhd — 70%-owned by PTT Synergy. 

Meanwhile, vTradEx is primarily involved in supply chain management software solutions for the logistics software sector.

PTT Synergy said the final funding mix will be determined after considering the group’s gearing position, financing costs and working capital requirements.

The acquisition is not expected to have a material impact on PTT Synergy’s earnings, net assets, share capital or gearing for the financial year ending June 30, 2027.

“The acquisition of the software is intended to transform PTT into a one-stop integrated logistics solutions provider through the deployment of a fully integrated system, thereby strengthening operational capabilities, data ownership and long-term recurring income potential,” said PTT Synergy in the filing.

The company expects the transaction to be completed in the first quarter ending Sept 30, 2026.

PTT Synergy’s shares closed up by two sen or 1.4% at RM1.47 on Friday. At its last price, the group is valued at RM701.7 million.
