Last week, AMMB Holdings Bhd (AMMB) (KL:AMBANK) said its banking arm AmBank (M) Bhd is buying the 46-storey Menara AmBank office building on Jalan Yap Kwan Seng, Kuala Lumpur, from AmFIRST Real Estate Investment Trust (AmFIRST REIT) (KL:AMFIRST) for RM331 million in a related-party transaction.

From AmBank’s perspective, the rationale is straightforward: owning a key operating property in the Kuala Lumpur Golden Triangle locks in long-term occupancy certainty and reduces exposure to rental inflation. In an era where Grade A office costs are volatile, this can be seen as defensive balance-sheet management rather than property speculation.

For AmFIRST REIT, however, the case is less clear-cut. The asset has historically contributed stable rental income (RM19.9 million in its financial year ended March 31, 2025), with a secure anchor tenant (AmBank) occupying over 65% of net lettable area.

Selling an income-generating core asset to a related party — AmBank is a 26.73% unitholder — raises questions as to whether the REIT is optimising for long-term income stability or short-term balance sheet repair.

On the one hand, the transaction improves AmFIRST REIT’s gearing, which is expected to improve from 47.08% to 34.13%, and reduces interest costs, strengthening financial flexibility. The move may also enable better-yielding acquisitions.

On the other hand, it will result in a net accounting loss and remove a relatively reliable income stream, potentially increasing reliance on weaker-performing assets in the portfolio. This trade-off suggests capital structure optimisation rather than pure asset-quality enhancement.

The critical question is not whether the transaction is rational but whether it is optimal. If redeployment into higher-yielding, higher-occupancy assets is executed effectively, the disposal will strengthen portfolio efficiency. If not, it risks becoming a simple transfer of a quality asset from a yield-focused vehicle to an operating group seeking cost certainty.
