KUALA LUMPUR (May 20): Insas Bhd (KL:INSAS) said its wholly-owned units Insas Plaza Sdn Bhd and Insas Technology Bhd have sold 100 million shares in Inari Amertron Bhd (KL:INARI) for RM186 million, trimming the investment group’s stake in the outsourced semiconductor assembly and test provider to 9.67%.
The shares were disposed of at RM1.86 apiece through direct business transactions arranged by Insas’ brokerage unit M&A Securities Sdn Bhd, according to a Bursa Malaysia filing on Wednesday. The sale price represented a 1.59% discount to Inari Amertron’s last closing price of RM1.89 on May 18 and a 0.77% discount to its volume-weighted average price of RM1.8745.
Insas said the disposals are expected to generate a gain of RM84 million. The group’s original investment cost in the shares was about RM23 million, while the carrying value stood at roughly RM80 million after accounting for post-acquisition profits and reserves.
“The disposals allow the group to realise capital gains and monetise part of its investment in Inari,” Insas said, adding that proceeds will be used for working capital and repayment of bank borrowings.
Including the latest transaction, Insas has traded about 146.9 million Inari Amertron shares over the past 12 months through open-market deals and direct business transactions valued at RM293.8 million.
Inari Amertron reported net assets of RM2.76 billion and a net profit of RM218.7 million for FY2025.
Shares of Inari Amertron fell 0.5% to RM1.87 on Wednesday, valuing the company at RM7.12 billion. The stock has gained 7.5% so far this year. Insas slipped 1.7% to 86 sen, giving the company a market capitalisation of RM622.5 million, with the stock down 4.4% year to date.
