KUALA LUMPUR (Jan 13): AirAsia X Bhd (KL:AAX) has fixed the issue price of its proposed private placement at RM1.65 per share, with the RM1 billion fund-raising exercise fully subscribed by a mix of institutional and private investors.

The placement is scheduled for completion on Jan 19, with the enlarged share base expected to be listed on the Main Market of Bursa Malaysia on the same day, the low-cost carrier said in a statement published on its website on Tuesday.

AirAsia X chairman Datuk Fam Lee Ee said the market response reflected investor confidence in the group as it moves into the final phase of its restructuring.

“We are pleased to see such robust support from the investor community, which serves as a clear demonstration of confidence in the world’s best low-cost airline. This capital injection is not just about the present; it fuels our growth trajectory as we work towards becoming the world’s first low-cost network carrier,” he said.

The completion of the private placement is a key step ahead of Capital A Bhd’s (KL:CAPITALA) planned distribution of AirAsia X shares to its shareholders, which is expected to take place on Friday (Jan 16). Capital A received AirAsia X shares as part consideration for its airline business disposal to AirAsia X for RM6.8 billion.

The disposal would consolidate all AirAsia carriers under a single listed airline.

Capital A has separately said the share distribution will pave the way for the submission of its application for Practice Note 17 (PN17) upliftment, with the final court hearing scheduled for Jan 21.

The RM1 billion private placement is intended to fund the operations of the enlarged AirAsia group, and is one of the final conditions required before the AirAsia X share distribution.

Bursa Malaysia had previously rejected Capital A’s request for more time to complete the share distribution, but approved AirAsia X’s application to extend the deadline for completing its private placement and related corporate exercises until Jan 19.

Capital A has since clarified that the distribution of AirAsia X shares is dependent on the issuance of new AirAsia X shares arising from the private placement, and that its overall regularisation strategy remains unchanged.

Shares in Capital A ended two sen or 4.76% higher at 44 sen on Tuesday, valuing the group at RM1.95 billion. AAX closed up one sen or 0.58% higher at RM1.72, giving the group a market capitalisation of RM769 million.
