KUALA LUMPUR (Jan 6): Theta Edge Bhd’s (KL:THETA) largest shareholder Lembaga Tabung Haji has sold its entire 27.28% stake in the ICT solutions firm, according to bourse filings on Tuesday (Jan 6).
This confirms a report in The Edge on Jan 2, which noted that the size of an off-market transaction in the company on that day aligned with Tabung Haji’s shareholding.
The transaction marks the pilgrimage fund’s exit from Theta Edge. The buyer of the stake, Stealth Solutions Sdn Bhd, is now the company’s new largest shareholder.
Stealth Solutions is 75%-owned by Datuk Amrul Hisyam Alias and 25% by Norul Azwani Mohd Hanafi, based on a check with the Companies Commission Malaysia.
According to Stealth Solutions' website, the company is a telecommunications tower firm. Amrul Hisyam is its group executive chairman.
Tabung Haji sold the 27.28% stake, comprising 32.18 million shares, on Jan 2, while Stealth Solutions acquired the same number of shares on the same day via an off-market transaction.
While the transaction price was not disclosed on the bourse, Bloomberg’s off-market data showed the 32.18 million shares were transacted in a single block at 90 sen apiece — a 23.3% premium to the counter’s 73 sen close on Jan 2.
All in all, the block was valued at RM28.96 million.
Tabung Haji has been a substantial shareholder of Theta Edge, then known as Lityan Holdings Bhd, since 2000, based on available bourse records.
The fund’s stake in the company peaked at 68.7% in 2015 and remained there till March 2021 when it disposed of 32.5 million shares — then a 30.3% stake.
Now, aside from Stealth Solutions, Theta Edge’s other substantial shareholder is Tan Sri Vincent Tan’s Berjaya Group, which holds a 15.38% stake through REDtone Digital Bhd (KL:REDTONE).
Two other substantial shareholders, Threadstone Capital Sdn Bhd and Hilary Fernandez, exited their substantial positions in May and August 2025, respectively.
On Tuesday, Theta Edge also announced the resignation of Nik Johaan Nik Hashim and Datuk Dyg Sadiah Abg Bohan as non-independent and non-executive directors.
In the open market, Theta Edge shares ended half a sen or 0.68% higher at 74.5 sen, valuing the company at RM87.89 million.
