KUALA LUMPUR (Nov 6): Pertama Digital Bhd (KL:PERTAMA) shares will be suspended on Nov 14 after the government e-service provider failed to meet its regularisation plan submission deadline.

Bursa Malaysia Securities, which announced the trading suspension in a filing on Thursday, noted that Pertama Digital had failed to submit the regularisation plan by the extended deadline of Oct 31 previously granted by the regulator.

Pertama Digital said it had on Oct 31 appealed for a further extension of time. Delisting of its securities will be deferred pending the regulator’s decision on the appeal.

The company had previously been granted four extensions to submit the regularisation plan.

The extensions pushed the initial submission deadline of August 2023 to February 2024, followed by August 2024, February 2025 and the now lapsed October 2025 deadline.

The extensions were given without prejudice to Bursa Securities’ right to suspend trading of Pertama Digital’s securities or delist the company in the event it fails to submit the regularisation plan by the extended deadline, its appeal, obtain approval for the plan’s implementation or implement the plan within a stipulated timeframe.

Pertama Digital was classified as an affected listed issuer in August 2022.

The status came after it triggered paragraph 8.03A(2)(a)(b) of the Main Market Listing Requirements following the sale of its textile business, Be Top Group Ltd, for RM70 million, as part of a shift to focus on digital services.

This move, a disposal of a major business under bourse listing rules, required the company to file a regularisation plan.

In March 2025, Pertama Digital announced its plan to acquire 80% stakes in two information technology and surveillance hardware distribution firms, D-Ron Singapore Pte Ltd and D-Ron Malaysia Sdn Bhd, for RM106.12 million in cash.

The acquisition, which was completed earlier this year, forms part of its unsubmitted regularisation plan, the company previously said.

Under the deal, vendors, Ronnie Hun Tock Juan, Healin Tay Siang Yuan and Kelvin Lim Ken Neth, guaranteed a combined profit of RM32.56 million (S$9.79 million) for FY2025 and FY2026.

Shares in Pertama Digital ended unchanged at 11 sen, valuing the company at RM46.35 million.
