KUALA LUMPUR (Aug 14): Automated test equipment maker Aemulus Holdings Bhd (KL:AEMULUS) entered into a deal on Thursday to acquire the camera sensor testing business of China-based Revotronix group for 32.46 million yuan (RM19.09 million).

Aemulus said the deal, undertaken by its wholly-owned subsidiaries Tangming Shengshi Technology Precision Instrument (Suzhou) Co Ltd (TMSS) and Aemulus Corporation Sdn Bhd, covers the transfer of intellectual property, technology roadmap, customer and supplier relationships, sales contracts, selected employees, inventories and fixed assets.

Revotronix, which develops and sells semiconductor and electronic equipment for CMOS image sensors (CIS) in China, has partnered with TMSS since 2021, said Aemulus in a filing with Bursa Malaysia, adding that the acquisition will give TMSS direct access to one of the world’s largest CIS makers, boosting its average selling prices and order volumes.

The acquired technologies, valued at 11 million yuan, complement TMSS’ existing WSH5600 CIS test solution — a system Revotronix itself purchased from TMSS in 2021. Aemulus said the technologies will reduce reliance on third-party components and secure direct access to key customers’ long-term projects and product plans.

Meanwhile, inventories and fixed assets, valued at 21.46 million yuan, include ready-to-deploy CIS tester components, research and development facilities, and related materials.

Third straight profitable quarter

In a separate filing, Aemulus reported a net profit of RM24,000 for its third quarter ended June 30, 2025 (3QFY2025), compared with a net loss of RM2.99 million a year earlier, marking its third consecutive profitable quarter.

The turnaround was driven by an 84% year-on-year jump in revenue to RM19.06 million, supported by stronger demand from the CMOS image sensor market and cost-saving measures, the company said.

No dividend was declared for the quarter.

“With the latest transfer of CIS business from Revotronix as announced on even date, the revenue contribution from the CIS market segment is expected to enhance our financial performance,” said Aemulus.

“We foresee large contributions of revenue from the ROW (Rest of the World) sales region for the automotive market segment in 4QFY2025. Orders have been obtained and the tester manufacturing is work-in-progress,” the company added.

Shares of Aemulus closed down half a sen or 1.89% at 26 sen on Thursday, valuing the company at RM174.87 million.
