KUALA LUMPUR (Aug 14): Catcha Digital Bhd (KL:CATCHA) said on Thursday it is buying a 60% stake in a trade show organiser for RM11.38 million cash.
The proposed acquisition of One International Exhibition Sdn Bhd, which caters to a distinct client base through agriculture and construction events, will complement its existing subsidiary that also holds exhibitions, Catcha Digital said in an exchange filing.
“This complementary expansion enables the Catcha Digital Group to tap into new industry verticals and client segments, thereby strengthening its overall value proposition within the digital media and event management space,” the company noted.
One International owns Agri Malaysia, an agriculture technology exhibition, and also organises construction-and-infrastructure exhibition MBAM OneBuild as a 49% joint venture partner with Master Builders Association Malaysia.
The planned purchase comes on the heels of the acquisition of a 70% share in Tastefully Malaysia Sdn Bhd completed in June. Tastefully focuses on exhibitions and events related to food products and services tailored for the business-to-consumer and business-to-business markets.
Including One International and Tastefully, Catcha Digital has announced seven acquisitions in the last nine months.
One International, currently fully-owned by industry veteran Lim Kean Boon, made a profit after tax of over RM2 million on revenue of RM4.4 million. Lim has committed to ensure that One International makes net profit of RM5.9 million over two years once the acquisition is completed.
“This acquisition marks a strategic entry for Catcha Digital into the trade exhibition industry, providing immediate access to a resilient, high-margin sector anchored by established intellectual properties and proven operational capabilities,” the company said in a separate statement.
