KUALA LUMPUR (Nov 30): An investment vehicle linked to Berjaya Group’s Tan Sri Vincent Tan Chee Yioun has emerged as a substantial shareholder in Berjaya Food Bhd (KL:BJFOOD) with a 8.09% stake.

Detik Ria Sdn Bhd acquired said 8.09% stake, or 141.95 million shares, on Wednesday, according to the cafe-and-restaurant operator’s bourse filing on Friday.

A check with Bloomberg’s off-market data revealed 141.95 million shares — in two blocks — were traded at 35 sen apiece or an aggregate RM49.68 million on Wednesday. The 35 sen price tag represents a 10.3% discount to the counter’s Wednesday closing price of 39 sen.

Berjaya Food’s substantial shareholders comprise Berjaya Corp Bhd (KL:BJCORP), with a direct stake of 5.7% and an indirect stake of 57.53% via Berjaya Group Bhd.

According to file checks with the Companies Commission Malaysia, Detik Ria is equally owned by 10 vehicles, namely: Berjaya Corp’s wholly-owned Berjaya Capital Sdn Bhd, Ekuiti Spektrum Sdn Bhd, Seahouse Capital Sdn Bhd, Antara Merdeka Sdn Bhd, Pentas Sentral Sdn Bhd, Arah Juara Sdn Bhd, Cangkat Selasih Sdn Bhd, Persada Majestik Sdn Bhd, Serata Setia Sdn Bhd and Gabungan Majestik Sdn Bhd.

Ekuiti Spektrum is 90% indirectly-owned by Firdaus Md Ali and 10% by Muara Setara Sdn Bhd. The latter is 58.33%-owned by Pesumals (M) Sdn Bhd, followed by an equal holding of 20.83% by Mohamed Shah and Shahanim Shahidan.

Pesumals is 49%-owned by former federal territories minister and Umno politician Datuk Seri Tengku Adnan Tengku Mansor and 51% by Batumadu Sdn Bhd. The latter is 75%-owned by Tan, 12.5% by Mohamed Amin and 12.5% by Datuk Dr Tengku Rethwan Tengku Mansor.

Seahouse Capital is 79.99%-owned by Ayer Sahaja Sdn Bhd and 20% by Yeap Dein Wah. Ayer Sahaja is 80%-owned by Mohd Faizol Jamaludin, 10% by Chow Lean Keat and 10% by Ahmad Ariff Meah Azlan Meah.

Antara Merdeka is equally owned by Hew Chee Wai, Chang Yit Fei, Kho Chek Leang, Datuk Tan Mann Chai and Daniel Shinn Chenn.

Pentas Sentral is 80%-owned by Redtone Digital Bhd’s (KL:REDTONE) independent non-executive director Datuk Avinderjit Singh Harjit Singh and 20% by Aisha Shamsuddin.

Arah Juara is 50%-owned by Tan Mun Choy, 20% by Datasonic Group Bhd’s (KL:DSONIC) independent non-executive director Tunku Datuk Seri Shahabuddin Tunku Besar Burhanuddin and 10% by Chang Wai Keng.

Persada Majestik is wholly-owned by the daughter of the King and the Sultan of Johor, Tunku Tun Aminah Sultan Ibrahim. Serata Setia is wholly-owned by Chew Hui Ann. Gabungan Majestik is wholly-owned by Hayder Amin Mohd Yazid. Cangkat Selasih 99.99%-owned by Wong Kian Teck.

Shares in Berjaya Food ended 3.5 sen or 8.97% lower at 35.5 sen on Friday, valuing the company at RM663.62 million.
