KUALA LUMPUR: A suspended director of Multi-Usage Holdings Bhd (MUH) is suing the company, its executive chairman Ang Kim Cheng @ Ang Teng Kok, and his son, executive director Ang Hwei Chynn.

Tan Chew Hua, in an originating summons filed together with Khoo Yik Chou at the Penang High Court on Jan 11, is seeking a declaration that Teng Kok and Hwei Chyn are no longer directors of the company following the conclusion of the company's annual general meeting on Dec 21 last year.

Tan, a non-independent, non-executive director of MUH, has been suspended for two months since November last year for what MUH’s board had said was due to an investigation into matters highlighted in a qualified auditors’ report and a special audit report.

During the Dec 21 AGM, it was reported that the issue of Tan's suspension was an issue of contention, which resulted in some dissatisfied shareholders trying to take over the meeting that was being chaired by Teng Kok.

Meanwhile, in the suit filed, Tan, together with Khoo, is also seeking an order to forbid Teng Kok and Hwei Chyn from appointing new directors for MUH, besides a declaration that any such directors appointed by the duo, or by the duo's directors, as null and void.

In addition, they are also seeking an order to forbid the father and son from using any of MUH's or its units' funds to finance any legal costs arising from this lawsuit, or in any legal actions relating to them.

They also want a declaration that Tan has the power to appoint Khoo or any eligible persons as directors of the company, on top of a declaration that he and Khoo are the valid directors of MUH.

As such, they also want an order that directs the company secretaries to take and perform all valid actions as required by them in relation to the company's secretarial matters.

However, Tan and Khoo specified that all costs occasioned by or incidental to this suit be borne by the father and son duo personally, with no order in relation to costs against MUH.

The court has fixed Jan 26 to hear the plaintiffs' application.

"The company is seeking the necessary legal advice to resolve and/or defend against this matter," said MUH, adding further announcements on the matter would be made in due course.

MUH shares closed unchanged at 76 sen today, valuing it at RM42.88 million.
